All members of the Management Board and all members of the Supervisory Board of Santander Bank Polska S.A. meet the requirements imposed by force of Article 22aa of the Banking Law of 29 August 1997 regarding restrictions on the number of functions held in Management Boards and Supervisory Boards of other companies.
The selection of members of the Management Board and Supervisory Board is governed by the respective policies. This is done taking into account the diversity strategy in the selection process, the assessment of qualifications and the succession of supervisory and management bodies.

The Management Board develops its knowledge on economic, environmental and social topics. It also receives reports on regular dialogues with stakeholders on ESG topics of crucial significance for the Bank and participates in their analysis. Since 2020, the assessment of the achievement of the Responsible Banking strategy objectives, including the implementation of actions to support the environment and counteract climate change, has been one of the criteria for determining the amount of the bonus awarded to the members of the Management Board and the Chairman of the Supervisory Board. Santander Bank Polska is the first member of the Santander Group to introduce such a solution.
